These Terms of Service (the “Terms”) are a legal agreement between you and Stingray International FZ-LLC, a Free Zone Limited Liability Company registered in Ras Al Khaimah, United Arab Emirates and the publisher of Matrix Vault (“we,” “us,” or “the Company”), governing your download, installation and use of the Matrix Vault application for iPhone and iPad (the “App”). By installing or using the App you agree to these Terms. If you do not agree, do not install or use the App.
Matrix Vault encrypts your data on your device and we cannot read or recover it. Please read the “Encryption, passwords and lost access” section carefully — it describes the most important risk of using the App: if you lose your password, the encrypted data is gone.
1. Licence to use the App
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on iPhone and iPad devices that you own or control, for your own personal use. We retain all ownership of the App.
You agree that you will not:
- Copy, sell, rent, lease, sublicense or redistribute the App, except as expressly permitted here or by the App Store terms.
- Reverse engineer, decompile or disassemble the App, or attempt to derive its source code, except to the limited extent applicable law expressly permits despite this restriction.
- Circumvent, disable or tamper with the App's security, encryption or subscription mechanisms.
- Remove or alter any proprietary notices, or use the App in any way not permitted by these Terms or applicable law.
2. Eligibility and system requirements
The App runs on iPhone and iPad with iOS 17 or later and is distributed through the Apple App Store. You must be old enough to form a binding contract and to consent to digital services in your country. You are responsible for meeting the system requirements and for the security of the device on which you use the App, including its passcode and biometric locks.
3. Free to use, Pro subscription and payment
The Matrix Vault vault, password manager, private browser and messenger are free. The built-in AI assistant is freemium: it includes a free allowance, plus an optional Pro subscription that raises the assistant's usage limits.
Pro is an auto-renewable subscription sold through the Apple App Store. Payment is charged to your Apple account, and the subscription renews automatically unless you cancel at least 24 hours before the end of the current period. You manage or cancel it in your App Store account settings; we never see or store your card details. Prices are shown in the App Store before you buy and may change for future billing periods.
4. Your account
The messenger identity is a username that is not tied to a phone number or email address. You are responsible for keeping access to your account and device, for the contacts you add, and for verifying a contact's safety number when it matters to you.
5. Encryption, passwords and lost access
Your vault and the data inside it are encrypted on your device with AES-256, and the key that unlocks it is wrapped by your iPhone's Secure Enclave. Your messages are end-to-end encrypted. We do not hold your passwords or encryption keys.
This means that if you lose or forget your vault password we cannot recover it, and the encrypted data will be permanently inaccessible. A hidden, plausibly-deniable vault appears as nothing and reveals nothing without the correct password. There is no master key, backdoor, password reset or recovery path for encrypted data — that is the point of the design, and the responsibility for safely storing your passwords and keeping backups is yours.
6. Acceptable and lawful use
You agree to use Matrix Vault only for lawful purposes and only on devices and data you own or are authorized to act on. In particular, you must not use the App to:
- Store, send or request content that is illegal, that sexually exploits or endangers children, or that you have no right to hold or share.
- Conceal or alter data you are under a legal obligation to preserve, or to obstruct an investigation or legal process.
- Harass, threaten, defraud, impersonate or abuse others, or distribute malware or spam, or infringe the rights of others or any applicable law, regulation or export control.
Because your vault and conversations are encrypted, we do not monitor their contents. We act on conduct that is reported to us and may limit or terminate accounts that breach these Terms.
7. Your content
You are solely responsible for the content you store and send and the consequences of doing so. We do not claim ownership of your content, and — because it is encrypted on your device or to your recipients — we cannot retrieve, moderate or produce it.
8. AI assistant and email features
The built-in AI assistant is provided to help you and operates on a best-effort basis. It can be wrong, and its answers are not professional, legal, medical or financial advice. The optional email assistant connects to a mailbox you choose and is clearly labelled not end-to-end encrypted, because email itself is not. What these features send, and what they never send, is described in our Privacy Policy.
9. Optional online features
The vault, password manager and browser work on your device. A small number of optional, clearly-purposed online features exist — encrypted message and call routing, push notifications, the AI assistant and translation, the email assistant, support requests, and optional anonymous diagnostics (which you can turn off). What these send is described in our Privacy Policy, which forms part of these Terms.
10. Third-party services and payments
Purchases and subscriptions are processed by Apple through the App Store, subject to Apple's terms; we never see or store your full card details. Optional features that connect to third-party services (such as an email provider) rely on those services under their own terms. We are not responsible for third-party services, and your use of them is at your own risk.
11. Intellectual property
The App, including its software, design, text, graphics, and the Matrix Vault name and logo, is owned by us and protected by intellectual property laws. Except for the licence granted in these Terms, no rights are transferred to you.
12. Updates
We may release updates that add, change or remove features, fix problems, or strengthen security. Some updates may be necessary for continued secure operation. We are not obligated to provide any particular update or to support older versions indefinitely.
13. Disclaimer of warranties
The App is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the App will be uninterrupted or error-free, that messages or calls will always be delivered, or that it will meet your requirements. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, loss of profits, or business interruption, arising out of or relating to your use of (or inability to use) the App — including, without limitation, any loss resulting from a forgotten password, lost device access, or lost encrypted content. To the fullest extent permitted by law, our total liability for all claims relating to the App will not exceed the greater of the amount you paid us in the twelve months before the claim or US$25. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
15. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses and expenses arising out of your misuse of the App, your breach of these Terms, the content you store or send, or your violation of any law or the rights of a third party.
16. Termination
These Terms apply for as long as you use the App. Your licence terminates automatically if you breach these Terms. You may stop using the App at any time; deleting your account removes your account data from our relay, and uninstalling the App removes its local data from your device. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability and indemnification — continue to apply.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by the “last updated” date above, and your continued use of the App after a change takes effect means you accept the revised Terms.
